During the seminar, Guangzhou based lawyer Ms. Berube and Mr. Cajola will give a practical overview of recent changes in tax law and labour law in China. The following will be discussed along with practical examples:

1. Social insurance law: new obligations for companies and foreign employees;
2. Employment of foreign employees: new challenges and strategy for companies in China;
3. Income tax law: new rules for both Chinese and foreign employees;
4. VAT reform: Shanghai pilot reform in force from January 1st,2012.

CAROLINE BERUBE graduated from McGill University with a BCL and LL.B. degree and completed her studies at the National University of Singapore with a focus on Chinese laws. She is a Canadian admitted to practice in New York and Singapore and has been based in China for more than a decade. Caroline began her legal career working in Singapore for a British law firm. During that period, she represented international corporate clients and banks in asset-financing and merger and acquisition cross-border transactions in the northern part of Asia (such as China, Taiwan and Hong Kong).
In 2002, she moved to China to be part of the rapidly developing legal industry there and joined a Chinese law firm that specialised in corporate law. Since then, her career has focused on Chinese corporate law and commercial practice, an area in which she has built a well-respected expertise amongst many European, Asian and North American clients. Ms. Berube is especially well-regarded for advising clients on their Asian legal structure, based on her sound understanding of the pitfalls and advantages of most Asian jurisdictions.
Ms. Berube has advised clients in various industries such as manufacturing, energy (oil, gas and mining), technology and services. Due to her longstanding expertise, practice and professionalism as a lawyer in China, she has been featured in numerous magazines and newspapers. Ms. Berube is also a regular speaker at many international conferences in Asia, North America and Europe on corporate and commercial law, labour law and intellectual property matters. Ms. Berube is an arbitrator approved by the Chinese European Arbitration Center.


RICCARDO G. CAJOLA is a partner at Cajola & Associati law offices. He practices in the area of corporate law, representing publicly and privately owned domestic and foreign clients in asset and stock acquisitions or sales, corporate governance, employment and shareholders agreements, joint ventures, and partnerships. In addition, Mr. Cajola`s tax practice includes tax structuring for inbound/outbound investments and estates. He also advises clients in real estate acquisitions, financing, leasing, shopping centers and other real estate holdings as well as on issues regarding domestic and cross border trade.
During his career, Mr. Cajola developed as well a substantial experience in the area of intellectual property enforcement, by working closely with the main custom authorities in Italy.
Mr. Cajola writes and lectures frequently on corporate governance, regulatory, tax, partnership, and trade issues, and contributes articles to several law reviews. He is author of the Italian Chapter of the book “International Corporate Law Compendium”, 2010 Edition, Aspen Publishers, Wolters Kluwer Law & Business and co-author of “ItalyLaw”, 2010 Edition, G. Giappichelli Editore. Prior to joining Cajola & Associati (1998-2000), he worked as legislative legal aid at the D.C. Congressional Delegation, Washington DC-Office of U.S. Senator Paul Strauss. Mr. Cajola received his J.D. degree (from Università degli Studi di Milano) in 1995 and graduated as LL.M. in International legal Studies in Washington D.C. at American University, Washington College of Law in 1999. He is admitted to practice throughout Italy.
